Terms of Service
These Terms of Service ("Terms") govern your access to and use of RetroPay's website, merchant dashboard, REST API, Android relay app, and WooCommerce plugin (together, the "Services"). By creating an account or using the Services, you agree to these Terms.
1. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials, API keys, and webhook secrets, and for all activity that occurs under your account.
2. Description of the Services
RetroPay provides a payment verification layer for mobile financial services (MFS) such as bKash, Nagad, and Rocket. RetroPay does not hold, transmit, or custody customer funds. Payments are made directly between the payer and the merchant's existing MFS account; RetroPay verifies that a payment matches an open checkout session by relaying and matching the confirmation SMS.
3. Merchant responsibilities
- Provide accurate business and webhook information when registering as a merchant.
- Use the Services only for lawful goods, services, and business activity.
- Keep the device running the RetroPay Android app secure and ensure it has a working connection to receive and relay MFS SMS.
- Not attempt to circumvent, reverse engineer, or abuse the verification logic, rate limits, or security controls of the Services.
- Honor orders confirmed through RetroPay in good faith.
4. Fees
Any applicable fees for using RetroPay will be disclosed to you before they apply, either in your dashboard or in a separate agreement. We may change our fees with reasonable advance notice.
5. Suspension and termination
We may suspend or terminate a merchant account that violates these Terms, is used for fraudulent or illegal activity, or poses a security risk to the Services or other users. You may close your account at any time by contacting us.
6. Disclaimers
The Services are provided "as is" and "as available." RetroPay relies on SMS delivery from third-party MFS providers and mobile networks, which we do not control; we do not guarantee uninterrupted or error-free verification. RetroPay is not responsible for payments sent to an incorrect MFS number or for disputes between you and your customers.
7. Limitation of liability
To the maximum extent permitted by law, RetroPay will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the fees you paid RetroPay in the three months preceding the claim.
8. Changes to the Services or Terms
We may update these Terms or modify the Services from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
9. Governing law
These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict-of-law principles.
